Welcome to MerlotMedia. These Terms and Conditions (“Terms”) govern your access to and use of the services, websites, and content provided by MerlotMedia, a digital marketing agency located in Bangalore, India (“we,” “us,” or “our”). By accessing or using our services, you (“you” or “Client”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

1. Scope of Services

MerlotMedia provides professional digital marketing services including, but not limited to, search engine optimization (SEO), pay-per-click advertising (PPC), social media marketing, content marketing, branding, web development, and related consultancy services. All services will be provided as described in individual agreements, proposals, or Statements of Work (“SOW”) executed between the Client and MerlotMedia. Any services not explicitly included in the SOW will require a separate agreement.

2. Client Obligations

The Client agrees to provide accurate, complete, and timely information necessary for MerlotMedia to perform its services. This includes granting access to relevant platforms, accounts, websites, or tools. The Client warrants that all content, materials, or information supplied is legally obtained and does not infringe the rights of third parties. Failure to provide required materials or information may result in delays or suspension of services, for which MerlotMedia will not be held liable.

3. Payment Terms

All fees and charges for services provided by MerlotMedia shall be as outlined in the respective SOW. Payments must be made in accordance with the schedule set forth in the SOW. Late payments may attract interest or service suspension at our discretion. All fees are exclusive of applicable taxes, duties, or levies, which shall be borne by the Client. MerlotMedia reserves the right to suspend or terminate services if payment obligations are not met.

4. Intellectual Property Rights

All intellectual property rights, including but not limited to copyrights, trademarks, designs, and methodologies, developed by MerlotMedia in the course of providing services, shall remain the property of MerlotMedia until full payment has been received. Upon receipt of full payment, ownership of deliverables shall transfer to the Client, subject to any third-party rights, licenses, or restrictions. The Client shall not reproduce, distribute, or publicly display any materials without prior written consent from MerlotMedia.

5. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive or proprietary information disclosed during the engagement. Confidential information shall not be disclosed to any third party without prior written consent. This obligation shall continue even after termination of the agreement.

6. Limitation of Liability

MerlotMedia shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including loss of revenue, profits, or data. Our total liability under any claim shall not exceed the total amount paid by the Client to MerlotMedia for the specific service giving rise to the claim. The Client acknowledges that digital marketing outcomes are influenced by multiple factors beyond MerlotMedia’s control, and no specific results can be guaranteed.

7. Termination

Either party may terminate the engagement upon providing written notice to the other party. Upon termination, the Client is responsible for payment of all services rendered up to the termination date. MerlotMedia may, at its discretion, return or destroy Client-provided materials. Termination shall not affect accrued rights, obligations, or liabilities of either party.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of courts located in Bangalore, India.

9. Modifications

MerlotMedia reserves the right to modify or update these Terms at any time. Clients will be notified of significant updates through our website or email. Continued use of our services after such updates constitutes acceptance of the revised Terms.
